These Terms and Conditions ("Terms") govern your access to and use of the Zwipe Marketplace website and mobile application (collectively, the “Platform”), operated by Zwipe Marketplace FZC LLC, a Free Zone Company registered in Sharjah Publishing City Free Zone, United Arab Emirates.

1. Eligibility
Commercial use is only permitted where the user holds a valid UAE trade licence covering the relevant activity and Zwipe has provided prior written authorisation. Any unlicensed commercial use may result in immediate suspension and reporting to competent UAE authorities.
By accessing the Platform you represent that you are not subject to UAE, UN, EU, UK or US sanctions and that your use will not violate applicable sanctions or export control laws. You must also be at least 18 years old to use Zwipe. If you are 13 or older but under 18, you may only use Zwipe with the consent and supervision of a parent or guardian.

2. Website & App Forms
Zwipe may require users to provide Emirates ID, passport, trade licence or equivalent documentation in order to comply with Know Your Customer and anti-money laundering obligations under UAE law.
By submitting forms, you consent to Zwipe processing and verifying the information in accordance with UAE PDPL and GDPR. Users must ensure that information submitted is accurate and not misleading. Submitting fraudulent or false documents constitutes a criminal offence under UAE cybercrime and penal codes.

3. Data Retention
Personal data will be retained for as long as reasonably necessary to fulfil the purposes outlined, to comply with UAE Free Zone regulations, VAT law, consumer protection rules and applicable limitation periods under UAE and EU law. Data will not be retained longer than is necessary, in accordance with GDPR storage limitation principles.
4. Breach Notification
In the event of a data breach likely to result in risk to the rights and freedoms of individuals, Zwipe will notify affected users without undue delay. Zwipe may also notify the UAE Data Office, the Telecommunications and Digital Government Regulatory Authority (TDRA), and relevant EU supervisory authorities under GDPR, and cooperate fully with investigations.
5. Intellectual Property
All rights in the Platform, including its design, look and feel, databases, compilations, software, and trademarks are reserved. No licence is granted other than a limited, revocable right to access for personal use.
Any copying, reverse engineering, framing, mirroring or distribution without permission is prohibited. Unauthorised use may result in civil damages, criminal penalties, or both under UAE IP and cybercrime laws.

6. Platform Role Disclaimer
Zwipe provides marketing and informational services only. Zwipe does not act as agent, escrow provider, payment processor, broker, insurer, guarantor or RTA intermediary.
Zwipe does not verify vehicle ownership, accident history, odometer readings, encumbrances, or finance liens. Users must perform their own due diligence including RTA checks, lien searches and inspection. Zwipe accepts no liability for disputes between buyers and sellers or for compliance with customs, import-export or tax rules.

7. General Conduct Rules
Users must not:
- Upload, distribute or transmit any unlawful, defamatory, obscene, indecent, pornographic or otherwise prohibited material
- Engage in harassment, hate speech, discrimination, or threats
- Use Zwipe to launder money, evade sanctions, disseminate extremist content, or solicit unlawful services
- Harvest or misuse personal data of other users
Violation may result in immediate termination, preservation of evidence, and reporting to law enforcement in the UAE or other jurisdictions.
8. User Content License
By submitting content, users grant Zwipe a non-exclusive licence to use, store, reproduce and process such content for the purpose of operating and improving the Platform, subject to applicable laws.
Users represent that they have obtained all necessary rights and consents for content containing third-party personal data, including photographs of individuals, in compliance with PDPL and GDPR. Zwipe reserves the right to remove or disable access to any content at its discretion.

9. Limitation of Liability
To the maximum extent permitted by law, Zwipe excludes all liability for indirect, consequential, punitive, exemplary or special losses.
Zwipe’s total aggregate liability shall not exceed AED 500.
Nothing in these Terms shall exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, or any liability that cannot lawfully be excluded under UAE law, PDPL, GDPR or consumer protection statutes.

Zwipe does not warrant that the Platform will be uninterrupted, error-free, secure, accurate, or fit for a particular purpose.

11. Data Hosting and Transfers
Data may be processed and hosted within or outside the UAE and EU.
Where transferred outside the UAE or EU, appropriate safeguards will be applied including adequacy decisions, standard contractual clauses, intra-group agreements, or equivalent mechanisms under PDPL and GDPR.
Zwipe ensures third-party processors provide appropriate technical and organisational measures to safeguard personal data.

12. Changes to the Platform
Zwipe may modify, suspend or discontinue the Platform at any time. Zwipe will not be liable for any resulting loss of access, data or functionality.

13. Severability
If any provision is invalid under UAE or EU law, the remainder shall remain enforceable.
14. Governing Law
These Terms shall be governed by the laws of the United Arab Emirates. The courts of Sharjah shall have exclusive jurisdiction.

15. Modifications
Zwipe may revise these Terms periodically. Continued use constitutes acceptance. Material changes will be notified by email or Website/App notice.

Users are responsible for ensuring compliance with all applicable laws including customs, tax, data protection, export control, traffic and RTA rules.

Zwipe may suspend or terminate access immediately in case of breach, unlawful activity, or where required by competent authorities.
20. Force Majeure
Zwipe is not liable for failure or delay caused by events outside its reasonable control, including but not limited to network failure, natural disasters, war, terrorism, strikes, or government action.
21. Entire Agreement
These Terms and the Privacy Policy form the entire agreement between Zwipe and the user in relation to the Platform, superseding any prior terms.
